Discipline Committee Members interested in becoming Board Directors
On behalf of the ESA Office, it has come to my attention that some Discipline Committee members may seek to nominate to become ESA Board DIrectors.
Currently, clause 4.2(g) of the By-laws prevent a Discipline Committee member from being a director of the Board during their term on the committee.
This issue has been raised with the Corporate Affairs Commission and the Commission has advised that a DC member may nominate for the Board either by:
- intending to resign from the Discipline Committee if they are elected to the Board; or
- the Commission granting an exemption from the by-laws to permit the the DC member being on the Board.
If a DC member wishes to nominate for the Board, please state on your nomination form whether you intend to resign from the Discipline Committee or you are requesting an exemption from the Commission to permit you to be elected to the Board.
Once all nominations are received, the Commission will consider all nominations and whether it is appropriate to grant an exemption, noting that ESA needs a Board in order to continue operating.
